Terms of Service

These Terms of Service (the "Terms") govern your use of the PackPay website and the PackPay early-access service (together, the "Service") ("PackPay," "we," "us"). By creating an account or using the Service, you agree to these Terms.

1. The Service

PackPay helps consumer packaged goods businesses identify, prepare, and file disputes for retailer and distributor deductions. The Service is currently offered as a free early-access product. Features may change, be interrupted, or be discontinued at any time while we build.

2. Accounts

You must provide accurate information when signing up and keep your login credentials secure. You are responsible for activity under your account. You must be authorized to act for the business you register.

3. Your data

You retain all rights to the business data you provide or connect, including invoices, remittances, and supporting documents ("Customer Data"). You grant us a limited license to use Customer Data solely to provide and improve the Service. We do not sell Customer Data.

4. Acceptable use

You agree not to misuse the Service, including attempting to access accounts or data that are not yours, interfering with the Service's operation, submitting information you know to be false in connection with a dispute, or using the Service in violation of any law or of your agreements with retailers and distributors.

5. Dispute drafts

The Service prepares dispute drafts for your review. You decide whether and when to send them, and you send them yourself. PackPay does not submit anything to retailers or distributors on your behalf, does not guarantee that any deduction will be recovered, and nothing in the Service is legal, accounting, or financial advice.

6. Intellectual property

The Service, including its software, design, and content (excluding Customer Data), belongs to PackPay and its licensors. If you send us feedback, we may use it without obligation to you.

7. Termination

You may stop using the Service and disconnect your data at any time. We may suspend or end access to the early-access Service at our discretion, and will make reasonable efforts to give notice.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the fullest extent permitted by law, PackPay will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim relating to the Service will not exceed one hundred dollars ($100) or the amount you paid us in the twelve months before the claim, whichever is greater.

10. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify account holders by email or in the product. Continued use of the Service after changes take effect means you accept the updated Terms.

11. Governing law

These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Jefferson County, Alabama.
